IMPORTANT NOTICE TO ALL VISITORS AND ATTENDEES: These Terms and Conditions incorporate a binding Assumption of Risk, Release of Liability, Waiver of Claims, and Arbitration Agreement. By using this website or attending any Coven Club event, you are waiving significant legal rights including the right to sue and the right to a jury trial. Please read carefully before proceeding.
1. ACCEPTANCE OF TERMS
By accessing or using the website located at www.covenclubla.com (the "Site"), purchasing a ticket, attending an event, or engaging with any Coven Club LLC content or services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Site or attend Coven Club events.
These Terms apply to all visitors, members, ticket purchasers, event attendees, and anyone who interacts with Coven Club LLC in any capacity. Coven Club LLC, its members, managers, officers, employees, organizers, planning members, volunteers, and associated agents are referred to collectively herein as "Released Parties."
2. ABOUT COVEN CLUB LLC
Coven Club LLC ("Coven Club," "we," "us," or "our") is a California limited liability company operating a referral-only social community for women in Los Angeles, California. We can be reached at:

3. ELIGIBILITY AND COMMUNITY MEMBERSHIP
3.1 Referral-Only Access
Coven Club operates on a referral-only basis. Attendance at events and participation in the community requires a personal invitation from an existing member or the Coven Council. Coven Club reserves the right to accept or decline any membership or attendance request at its sole discretion.
3.2 Age Requirement
You must be at least 21 years of age to attend Coven Club events or use this Site. By using the Site or attending an event, you represent and warrant that you meet this age requirement. Coven Club LLC reserves the right to verify age by requesting valid government-issued photo identification. Any guest who cannot provide valid identification demonstrating they are 21 or older will be denied entry without refund.
3.3 Community Standards and Code of Conduct
Coven Club is committed to maintaining a safe, supportive, and intentional community. By attending events or engaging with Coven Club, you agree to:
• Treat all members and guests with respect and dignity
• Refrain from discriminatory, harassing, or harmful behavior of any kind based on race, gender, sexual orientation, religion, national origin, disability, age, or any other protected characteristic
• Honor the confidentiality of personal information shared within the community
• Not record, photograph, or share content about other attendees without their express consent
• Not solicit or conduct unsolicited commercial activity within the community
• Not possess or use any weapon of any kind, including firearms, knives with blades over two inches, tasers, or any object intended to cause harm
• Not use or possess illegal substances at any Coven Club event
• Comply immediately with all instructions from Coven Club staff and emergency responders in the event of an evacuation or emergency
Coven Club reserves the right to remove any member or attendee from the community or an event at any time for conduct that violates these standards, without refund. Serious violations may be reported to law enforcement.
4. VOLUNTARY PARTICIPATION AND ASSUMPTION OF RISK
4.1 Voluntary Participation
Attendance at any Coven Club event is entirely voluntary. No person has been coerced, pressured, or required to attend. By choosing to participate, you accept the terms of this Agreement as a condition of entry.
4.2 Assumption of Risk
You voluntarily choose to attend Coven Club events and fully understand that participation in any event activities may carry inherent risks, including but not limited to: bodily injury, illness, allergic reactions, property damage, emotional distress, or death. These risks may arise from your own actions, the actions of other attendees, the condition of the venue, or circumstances beyond the Organizer's control.
You knowingly and voluntarily assume any and all risks, both known and unknown, associated with attending Coven Club events, including risks arising from the negligence of any Released Party.
4.3 Waiver of Unknown Claims: California Civil Code Section 1542
You expressly waive and relinquish all rights and benefits under California Civil Code Section 1542, which provides:
"A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."
You acknowledge that you may hereafter discover facts different from those you now believe to be true, but you hereby fully, finally, and forever settle and release any and all such claims, known or unknown, suspected or unsuspected.
4.4 Health Representations
You represent and warrant that you are in adequate physical and mental health to attend events and participate in associated activities, including wellness programming such as breathwork, somatic practices, meditation, sound baths, and ritual elements. You confirm you are not aware of any condition that would pose an unreasonable risk to yourself or others. If you have any health conditions that may be affected by event programming, please consult a qualified healthcare professional before attending.
The Released Parties are not responsible for providing medical care. You consent to emergency medical treatment if deemed necessary, and acknowledge that you are solely responsible for associated costs and are responsible for maintaining your own health insurance coverage.
5. FOOD, BEVERAGE, AND ALCOHOL
5.1 Allergy and Dietary Responsibility
Coven Club events may involve food, beverages, and other consumable products. You are solely responsible for being aware of your own food allergies, dietary restrictions, and medical conditions, and for making informed decisions about what you choose to consume. The Released Parties do not guarantee that any food or beverage offered at events is free from allergens, including but not limited to nuts, gluten, dairy, shellfish, soy, or other common allergens.
You hereby release the Released Parties from any liability arising from any allergic reaction, adverse food response, or dietary concern resulting from your voluntary consumption of any food or beverage at a Coven Club event.
5.2 Alcohol and Substance Use
Coven Club events may take place in environments where alcohol is available. Coven Club LLC does not serve alcohol directly and is not a licensed alcohol vendor. By attending, you agree to the following:
• You are solely responsible for monitoring and controlling your own alcohol and substance consumption
• You represent that you are of legal drinking age (21 years or older) if you choose to consume alcohol
• You agree not to drive while impaired following any event and assume full personal responsibility for your transportation and safety upon departure
• Guests who are or become visibly intoxicated or impaired may be removed from the event without refund
• The use of illegal substances is strictly prohibited. Any guest found using or in possession of illegal substances will be removed immediately and may be reported to law enforcement
The Released Parties expressly disclaim any liability for any injury, accident, property damage, or other harm arising from your voluntary consumption of alcohol or any other substance before, during, or after any Coven Club event.
6. EVENTS, TICKETS, AND PAYMENTS
6.1 Ticket Purchases
Ticket purchases for Coven Club events are processed through third-party ticketing platforms. By purchasing a ticket, you agree to the terms of both Coven Club LLC and the applicable ticketing platform.
6.2 Refund and Cancellation Policy
All ticket sales are final. Coven Club does not offer refunds except in the following circumstances:
• Coven Club cancels the event for reasons within its control, in which case a full refund of the face value will be issued within 30 days, excluding any processing or service fees
• The event is postponed more than 90 days from the original date and you notify the Organizer in writing within 48 hours of the postponement announcement, in which case you may elect a refund or credit toward a future event
RSVPs and ticket purchases are strictly personal and non-transferable. If you are unable to attend, you may request to transfer your ticket to another eligible guest with prior written approval from hq@covenclubla.com. Transferred guests must meet Coven Club's community standards and referral criteria. The unauthorized resale or gifting of tickets is prohibited.
6.3 Financial Accessibility
Coven Club is committed to community accessibility. If ticket pricing falls outside your current means, please contact hq@covenclubla.com to discuss accommodations. This accommodation is offered at Coven Club's sole discretion and is not guaranteed.
6.4 Event Changes
Coven Club reserves the right to modify event programming, venue, date, facilitators, or other details at any time. We will make reasonable efforts to notify registered attendees of material changes in advance.
7. VENUE, PERSONAL PROPERTY, AND TRANSPORTATION
7.1 Venue Liability
Coven Club events are held at third-party venues including private residences, hotels, and event spaces. The Released Parties do not own, operate, or control these venues and are not responsible for the physical condition, safety standards, accessibility, or any acts or omissions of venue owners, operators, or their staff.
7.2 Third-Party Vendors
Coven Club events may feature third-party vendors, service providers, facilitators, caterers, volunteers or other independent contractors. The Released Parties do not control, supervise, endorse, or warrant the services, products, conduct, or safety practices of any third-party vendor. You release the Released Parties from any liability arising out of the actions, omissions, products, or services of any third-party vendor.
7.3 Personal Property
You assume sole responsibility for all personal property brought to any Coven Club event. The Released Parties are not responsible for the loss, theft, damage, or destruction of any personal property, including electronics, jewelry, clothing, bags, vehicles, or other valuables, regardless of how such loss occurs. You are advised not to bring irreplaceable or high-value items to events.
7.4 Security
Coven Club LLC does not employ professional security personnel and makes no representations regarding the security of any event location. You acknowledge and assume the risk of criminal acts by third parties that may occur at or near any Coven Club event. The Released Parties are not liable for any injury, loss, or damage arising from criminal acts of third parties.
7.5 Transportation and Parking
You are solely responsible for your transportation to and from all Coven Club events. The Released Parties are not responsible for arranging or ensuring the safety of your transportation. Parking, if available, is used entirely at your own risk. The Released Parties disclaim any liability for vehicle damage, theft, towing, or any incident occurring in or around parking areas. Rideshare is encouraged, particularly if consuming alcohol.
8. RELEASE OF LIABILITY
To the fullest extent permitted by applicable law, you hereby irrevocably release, waive, and forever discharge the Released Parties from any and all claims, demands, causes of action, damages, losses, or liabilities of any kind, whether now known or unknown, arising out of or in any way connected with:
• Your attendance at or participation in any Coven Club event
• Any bodily injury, illness, allergic reaction, death, disability, or property damage sustained during or in connection with a Coven Club event
• The condition, safety, or suitability of any venue where a Coven Club event is held
• Any act or omission by any other attendee, vendor, venue staff, or third party
• Any cancellation, postponement, or modification of any event
• Any theft, loss, or damage to your personal property
• Any criminal act by a third party occurring at or near the event
• Your voluntary consumption of any food, beverage, or substance at any event
This release applies even if a claim arises from the negligence of any Released Party, to the extent permitted by law.
9. HEALTH, SAFETY, AND WELLNESS DISCLAIMER
9.1 Wellness Programming
Coven Club events may include wellness programming such as breathwork, meditation, somatic practices, Human Design workshops, sound baths, and ritual elements. These activities are offered for educational, community, and personal development purposes only and do not constitute medical, psychological, therapeutic, or professional advice.
9.2 No Medical or Professional Advice
Nothing communicated at Coven Club events, on the Coven Club website, or in Coven Club communications constitutes medical, psychological, legal, financial, or other professional advice. Facilitators and guest speakers share their personal perspectives and areas of expertise but are not acting in a licensed professional capacity on behalf of Coven Club LLC.
9.3 Communicable Disease
You acknowledge that attending any in-person gathering carries an inherent risk of exposure to communicable illness. You voluntarily assume all such risks and release the Released Parties from any liability related to illness contracted before, during, or following a Coven Club event.
9.4 Insurance
Coven Club LLC does not provide any insurance coverage to guests attending its events, including health, accident, liability, or property insurance. You attend entirely at your own risk and are solely responsible for maintaining any personal insurance coverage you deem appropriate.
10. PERSONAL DATA, BIRTH INFORMATION, AND PRIVACY
10.1 Information We Collect
In connection with event registration and participation, Coven Club may collect the following personal information:
• Name, email address, Instagram handle, occupation, and contact information
• Birth date, birth time, and birth location (for workshop preparation such as Human Design charts)
• Payment information (processed by third-party payment providers)
• Communications you send to us
10.2 Use of Birth Information
Birth date, time, and location information collected during event registration is used solely for the purpose of preparing workshops at event programming. This information is not sold, shared with third parties, or used for any purpose other than the specific event for which it was provided. You may request deletion of this information at any time by contacting hq@covenclubla.com.
10.3 How We Use Your Information
We use the personal information we collect to:
• Process event registrations and ticket purchases
• Prepare personalized workshop materials such as Human Design charts
• Communicate with you about events, programming, Substack articles, and community updates
• Request to follow your Instagram account
• Maintain the safety and integrity of the Coven Club community
• Comply with legal obligations
10.4 Information Sharing
Coven Club does not sell, rent, or trade your personal information to third parties. We may share information with trusted service providers who assist in operating our events and website, subject to confidentiality obligations. We may share information with RSVP or ticketing platforms solely to the extent necessary to administer events. We may disclose information when required by law or to protect the safety of our community.
10.5 California Privacy Rights
California residents have the right to request access to, deletion of, and information about the personal data we collect. To exercise these rights, please contact hq@covenclubla.com. Coven Club will respond to verified requests within 45 days as required by the California Consumer Privacy Act (CCPA).
10.6 Cookies and Analytics
Our website may use cookies and similar technologies to improve user experience and analyze site traffic. By using the Site, you consent to our use of cookies in accordance with standard web practices. You may disable cookies through your browser settings, though some site functionality may be affected.
11. PHOTOGRAPHY, CONTENT, AND INTELLECTUAL PROPERTY
11.1 Event Photography and Likeness
Coven Club may engage photographers or videographers at events. By attending an event, you grant Coven Club and its authorized representatives the right to photograph, film, record, and otherwise capture your image, voice, and likeness. You grant Coven Club a perpetual, royalty-free, worldwide license to use such recordings for promotional, marketing, editorial, or archival purposes across any media now known or hereafter devised, without compensation. You waive any right to inspect or approve such use.
If you have concerns about appearing in event photography, please notify us at hq@covenclubla.com prior to the event.
11.2 Member Privacy at Events
Out of respect for our community, attendees may not photograph, record, or share identifiable content featuring other attendees without their express consent. Violations of this policy may result in removal from the community.
11.3 Coven Club Intellectual Property
All content on the Coven Club website, including text, images, graphics, the Coven Club logo, and other materials, is the property of Coven Club LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or use Coven Club's branding or content without prior written permission.
11.4 User Content
By sharing content in Coven Club community spaces, including Substack comments and community chat, you grant Coven Club a non-exclusive, royalty-free license to use, display, and share that content in connection with our community activities. You retain ownership of your content and may request its removal at any time.
12. SUBSTACK, EMAIL, AND DIGITAL COMMUNICATIONS
Coven Club operates a Substack newsletter and community platform at substack.com/@covenclub. By subscribing or engaging with our Substack, you agree to Substack's terms of service in addition to these Terms. Coven Club's Substack content may not be reproduced or distributed without permission.
You may opt out of Coven Club email communications at any time by contacting hq@covenclubla.com or using the unsubscribe link in any email. Opting out of marketing communications will not affect transactional communications related to event registrations.
13. THIRD-PARTY SERVICES
The Site and Coven Club events may include links to or integrations with third-party platforms including but not limited to Substack, Wami (ticketing), Stripe, Venmo, and Instagram. These third-party services are governed by their own terms and privacy policies. Coven Club is not responsible for the practices, content, or reliability of any third-party service.
Coven Club's relationship with sponsors and partners is governed by separate sponsorship agreements. The presence of a sponsor at a Coven Club event does not constitute an endorsement of their products or services by Coven Club LLC.
14. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY CALIFORNIA LAW, COVEN CLUB LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, ATTENDANCE AT EVENTS, OR PARTICIPATION IN THE COMMUNITY.
COVEN CLUB'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC EVENT OR SERVICE GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, the limitations above shall apply to the maximum extent permitted by law.
15. INDEMNIFICATION AND PROMISE NOT TO SUE
You agree not to bring or assert any lawsuit, claim, or legal proceeding against any Released Party in connection with any matter arising out of or related to a Coven Club event, except as required by applicable law.
You agree to indemnify, defend, and hold harmless Coven Club LLC, its members, officers, employees, contractors, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your attendance at Coven Club events; (c) your violation of these Terms; (d) your violation of any third-party rights; (e) any conduct at or related to a Coven Club event; or (f) any misrepresentation made by you herein.
16. DISPUTE RESOLUTION AND ARBITRATION
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
16.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. BY AGREEING TO THESE TERMS, YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL.
Any dispute, claim, or controversy arising out of or relating to these Terms or any Coven Club event, including claims based in contract, tort, statute, fraud, or misrepresentation, shall be resolved exclusively through binding individual arbitration administered by JAMS pursuant to its Streamlined Arbitration Rules, rather than in court. The arbitration shall take place in Los Angeles County, California.
Notwithstanding the above, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction in Los Angeles County, California to prevent irreparable harm pending arbitration.
16.3 Class Action Waiver
You and Coven Club LLC each waive any right to assert claims as a plaintiff or class member in any purported class action, collective action, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.
16.4 Informal Resolution
Before initiating arbitration, you agree to first attempt resolution through good-faith communication with Coven Club at hq@covenclubla.com. If informal resolution fails within 30 days, you may proceed to arbitration as described above.
17. FORCE MAJEURE
Coven Club LLC shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, fire, flood, earthquake, severe weather, pandemic, public health emergency, government order, civil unrest, terrorism, power outage, or venue closure. In such cases, Coven Club may cancel, postpone, or modify any event without liability. Refunds in such circumstances shall be governed by Section 6.2 of these Terms.
18. GENERAL PROVISIONS
18.1 Entire Agreement
These Terms, together with any event-specific terms communicated at the time of registration, constitute the entire agreement between you and Coven Club LLC with respect to your use of the Site and participation in the community.
18.2 Amendments
Coven Club reserves the right to update these Terms at any time. We will notify community members of material changes via email or Substack. Your continued use of the Site or attendance at events after such notice constitutes acceptance of the updated Terms.
18.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.
18.4 Waiver
Coven Club's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
18.5 No Partnership or Employment
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Coven Club LLC.
18.6 Assignment
You may not assign or transfer any rights or obligations under these Terms. Coven Club LLC may assign these Terms without restriction.
18.7 Survival
The following provisions shall survive termination or expiration of these Terms: Sections 4.3 (California Civil Code 1542 Waiver), 8 (Release of Liability), 15 (Indemnification), 16 (Arbitration), 11.1 (Photography and Likeness), and 10 (Data Privacy).
18.8 Electronic Consent
By checking a confirmation box on any Coven Club event registration page, purchasing a ticket, or using this Site, you acknowledge that such action constitutes your electronic agreement to these Terms with the same legal force and effect as a handwritten signature.
